SyncRep Membership Terms

SyncRep is a music discovery and licensing facilitation service operated by MusicAtlas. The service enables eligible artists and rights holders to make their commercially released music discoverable to music supervisors, filmmakers, advertisers, and other potential licensees.

By purchasing a SyncRep membership or participating in the service, you agree to these Membership Terms and the general MusicAtlas Terms of Use. These Membership Terms supplement the general Terms of Use and govern participation in SyncRep where applicable.

1. Membership

SyncRep offers a one-time membership fee of $99 USD per artist identity, providing lifetime access to the SyncRep service without recurring membership charges.

Each membership is associated with a single artist identity and email address. Separate artist identities require separate memberships, using separate email addresses.

Membership includes the ability to certify up to 750 eligible tracks for discovery through MusicAtlas. MusicAtlas may introduce additional features, membership tiers, or optional paid services in the future. Existing members will not be required to purchase additional services to maintain their SyncRep membership.

Lifetime membership refers to access for the operational lifetime of the SyncRep service. It does not guarantee that SyncRep will operate indefinitely or that specific features will remain unchanged. MusicAtlas may modify, suspend, or discontinue the service when reasonably necessary.

2. Artist Eligibility

SyncRep is intended for artists and rights holders whose music has been commercially distributed through recognized digital music services, such as Apple Music, Spotify, or Deezer.

Participating artists must own or control, or have sufficient authorization to license, both the master recording and underlying musical composition for each track they certify.

Music distributed exclusively through direct-upload platforms, including YouTube, SoundCloud, or Bandcamp, is not eligible for verification and certification.

AI-assisted or AI-generated recordings may be eligible provided the participating artist possesses all rights and permissions necessary to authorize their licensing and the recordings otherwise satisfy SyncRep eligibility requirements.

MusicAtlas reserves the right to determine eligibility and decline or remove tracks that do not satisfy these requirements.

3. Non-Exclusive Participation

SyncRep participation is non-exclusive. Artists retain full ownership and control of their music and remain free to distribute, promote, represent, and license their recordings independently or through other services.

Participation does not establish an exclusive representation, management, publishing, or licensing agency relationship between MusicAtlas and the artist.

4. Rights Granted to MusicAtlas

By certifying music through SyncRep, you grant MusicAtlas a limited, non-exclusive, worldwide, royalty-free permission to access, process, analyze, index, store, display, and make your certified music and associated metadata available for music discovery and licensing-related purposes.

This permission includes analyzing and indexing recordings and their associated metadata, providing audio previews, and making certified tracks discoverable through MusicAtlas products, applications, integrations, and authorized partners.

For the avoidance of doubt, MusicAtlas does not train generative AI models on artists’ music and will not use certified recordings, associated metadata, or the results of its analysis and indexing technologies to create or facilitate the creation of new musical recordings, compositions, or derivative works. MusicAtlas’s use of these technologies is limited to music analysis, organization, search, discovery, and licensing facilitation.

This permission is limited to operating, maintaining, and promoting the SyncRep service and facilitating potential licensing opportunities. It does not transfer ownership of your recordings or compositions to MusicAtlas.

MusicAtlas does not receive authority under these terms to grant synchronization licenses, approve commercial uses, or otherwise license your music to third parties without your separate authorization.

5. Track Certification and Rights Verification

Artists are responsible for accurately certifying their music and confirming that they possess the rights necessary to authorize synchronization and other proposed licensing uses.

By certifying a track, you represent that the information you provide is accurate and that you possess the necessary rights, permissions, and authority to offer the recording and underlying composition for licensing.

This includes responsibility for any collaborators, co-writers, publishers, producers, performers, samples, or other parties whose rights may be implicated by a proposed license.

MusicAtlas may use automated systems and third-party information to assist with artist verification and track identification. However, certification and verification do not constitute a legal determination or guarantee of rights ownership or licensing clearance.

MusicAtlas may request additional information, suspend certification, or remove tracks if ownership, eligibility, or licensing authority is disputed or cannot be reasonably established.

6. Licensing Inquiries and Approvals

SyncRep helps potential licensees discover music and connect with the appropriate rights holders. MusicAtlas may facilitate licensing inquiries, introductions, and communications between interested parties.

MusicAtlas does not independently negotiate, approve, execute, or issue licenses on behalf of participating artists unless separately authorized under an additional written agreement.

Artists retain the right to review, approve, reject, or negotiate any proposed licensing opportunity, including the proposed fee, media, duration, territory, exclusivity, and other applicable terms.

No licensing inquiry, search result, track preview, or expression of interest constitutes permission to use a recording or composition. Any commercial use requires appropriate authorization from the relevant rights holders.

7. Licensing Agreements and Payments

Licensing agreements are entered into directly between the licensee and the applicable rights holders. Unless otherwise agreed in writing, MusicAtlas is not a party to those agreements.

Licensing fees and payments are arranged directly between the parties to the licensing transaction. MusicAtlas does not collect, hold, distribute, or guarantee licensing payments on behalf of SyncRep members.

SyncRep does not charge commissions or deduct transaction fees from licensing revenue earned by participating artists.

Where multiple parties share ownership or control of a recording or composition, the participating artist is responsible for obtaining any necessary approvals and arranging the appropriate distribution of licensing proceeds.

MusicAtlas is not responsible for payment disputes, contractual disagreements, unauthorized uses, or failures by licensees or rights holders to fulfill their obligations.

8. Track Removal and Membership Termination

Artists may request the removal of certified tracks from SyncRep or discontinue their participation at any time by contacting MusicAtlas.

Upon receiving a valid removal request, MusicAtlas will take reasonable steps to remove the affected tracks from active SyncRep licensing discovery systems. Some information may remain temporarily in technical caches, backups, or previously prepared search materials.

MusicAtlas may retain limited records where reasonably necessary for legal compliance, security, dispute resolution, or documentation of previous licensing inquiries.

Removing a track or terminating participation does not invalidate licensing agreements independently entered into before removal. Such agreements remain governed by their respective terms.

MusicAtlas may suspend or terminate participation where an artist provides materially inaccurate information, violates these terms, infringes third-party rights, or otherwise misuses the service.

Membership fees are generally non-refundable after enrollment, except where required by applicable law or otherwise determined by MusicAtlas.

9. No Guarantee of Licensing Opportunities

SyncRep provides tools and infrastructure intended to improve music discoverability and facilitate potential licensing opportunities. Participation does not guarantee that any track will be discovered, selected, requested, licensed, or generate revenue.

MusicAtlas makes no representations regarding the number, frequency, value, or likelihood of licensing opportunities available to participating artists.

10. Artist Responsibilities and Liability

Participating artists are responsible for the accuracy of information they provide, the rights they certify, and their compliance with applicable copyright, intellectual property, and licensing laws.

To the extent permitted by applicable law, artists agree to indemnify and hold harmless MusicAtlas and its officers, employees, and representatives against third-party claims, damages, liabilities, and reasonable expenses arising from materially inaccurate rights certifications, unauthorized submissions, or infringement of third-party intellectual property rights.

MusicAtlas provides SyncRep on an "as is" and "as available" basis without guarantees of uninterrupted operation, search visibility, licensing outcomes, or commercial results.

11. Changes to the Service and Terms

MusicAtlas may update SyncRep features, eligibility requirements, operational processes, or these Membership Terms from time to time.

Material changes to these terms will be communicated through the MusicAtlas website or other reasonable means. Continued participation after updated terms become effective constitutes acceptance to the extent permitted by applicable law.

Changes to these terms will not transfer ownership of an artist's music to MusicAtlas or authorize licensing without the rights holder's approval.

12. Privacy

Information collected through SyncRep is used to administer memberships, verify artist identities, certify recordings, operate music discovery systems, and facilitate licensing inquiries.

Artist names, professional contact information, track metadata, and other information relevant to licensing may be made available to potential licensees as necessary to operate the service.

Personal information is handled in accordance with the MusicAtlas Privacy Policy.
